DensityAI, the AI chip startup founded a year ago by former Tesla Dojo leaders, is in late-stage talks to raise several hundred million dollars at a reported $10 billion valuation, with Andreessen Horowitz (a16z) in discussions to lead the round. The company was co-founded by Ganesh Venkataramanan, former head of Tesla's Dojo supercomputer program, along with Bill Chang, former Dojo chief systems engineer, and Ben Floering, former head of the Dojo AI infrastructure team. Tesla quietly disbanded the Dojo team last summer. According to a person involved in the talks, DensityAI has told potential investors its chips use a distinctive memory layout — stacking memory dies directly atop compute dies using 3D DRAM rather than a side-by-side arrangement — to shorten data-transfer distances during inference, improving speed and cutting power. The company's chips remain in early development and could be years from production. Prior backers include the Dolby family venture arm, South Park Commons, and Firestreak Ventures. Amazon and a16z declined to comment; DensityAI did not respond to requests.

The valuation is striking precisely because it is decoupled from product maturity. DensityAI is being priced at $10 billion with no shipping silicon, no disclosed revenue, and a manufacturing timeline measured in years. The comparable the market is reaching for is Etched, which has been building for four years, is now delivering chips, and closed a $700 million round led by Jane Street Capital at a $21 billion post-money valuation in August. a16z itself raised an $1.1 billion fund last month dedicated to chips, memory, and other AI hardware components — the fundraise and this deal are two expressions of the same thesis. The strategic logic DensityAI is selling centers on memory bandwidth: 3D DRAM stacking is also being pursued by d-Matrix in its second-generation chip, and Nvidia is exploring new memory technologies, including a reported ~$500 billion-class AI cooperation with memory maker SK Hynix. The technical risk is real and openly acknowledged in the reporting: DRAM is highly temperature-sensitive, and stacking it directly over a hot compute die makes the fragile stack prone to deformation and damage. If DensityAI solves that, the payoff is lower model-running costs and faster inference.

The implication for builders and investors is that the bottleneck the market is now paying to attack is memory movement, not raw FLOPs. Amazon's own chip program — Trainium, plus tie-ups with Astera Labs for interconnect hardware and Cerebras for disaggregated inference — shows how a hyperscaler hedges this bet, and DensityAI's reported conditional agreement with AWS is the distribution path that makes a pre-product $10 billion valuation legible. For investors, the relevant question is not whether 3D DRAM stacking is a good idea — it is — but whether a team that never shipped Dojo to production can execute on a packaging problem that is harder than Dojo was, on a clock set by Etched and Nvidia rather than by its own roadmap.
