British AI neocloud Nscale has acquired Anyscale, the software startup behind the open-source Ray framework, for $1.65 billion, Bloomberg reported. Anyscale builds a platform for scaling AI workloads — including training, inference, data curation, and reinforcement learning — across data centers. The acquisition adds workload management and orchestration software to Nscale’s existing vertical stack of energy, data centers, and orchestration. Anyscale, valued at $1.38 billion in a 2022 Series C, reported 70% sequential quarterly revenue growth. Its ~200 employees will join Nscale, which raised $2 billion in a March 2026 Series C at a $14.6 billion valuation, backed by Nvidia, Nokia, Blue Owl, Dell, and Aker.
Why it matters: This deal fits the emerging ‘acqui-licensing pattern’ for AI infrastructure — buying a software layer to tighten control over customer spend and differentiate from hyperscaler alternatives. Nscale is vertically stacking energy, data-center real estate, orchestration, and now workload management, aiming to own the entire AI compute value chain. That mirrors what CoreWeave and Lambda have done with GPU clusters plus software, but Nscale’s addition of a foundational open-source framework (Ray) gives it a distribution moat: developers already using Ray become natural Nscale tenants. The acquisition also signals that AI neoclouds, flush with capital, are now consolidating the software tools they previously relied on as partners.
Expert take: This is a capital-compression signal. Nscale and Anyscale raised a combined ~$3.7B in recent rounds, yet the purchase price ($1.65B) is only slightly above Anyscale’s 2022 valuation. That suggests Anyscale’s standalone growth was strong but not enough to justify a higher premium in the current capital environment. Nscale gets a prized open-source community and enterprise footprint without paying a frothy multiple. For the AI infrastructure segment, this deal validates an old truism: in a capital-intensive market, owning the scheduling and orchestration layer can be more valuable than just owning the GPUs.
