Nvidia-backed AI cloud provider Nscale has submitted an S-1 registration statement to the SEC to begin its IPO process, with plans to list on the New York Stock Exchange. The company is reportedly targeting a valuation of up to $35 billion, according to finance.ifeng.com. The filing marks one of the most significant public-market debuts yet for an AI compute infrastructure company.
The move caps a rapid capital buildout for Nscale, which was founded in 2024 and has already assembled $3.722B in total funding per the AI Market Watch index, a figure that tracks coverage rather than a census. In recent weeks it raised $3.36B in convertible financing led by Third Point with $1B from Nvidia, and separately secured $790M for a data center in Narvik, Norway, alongside a compute deal with Anthropic reported at $45B. The S-1 also arrives weeks after reports that Nscale helped ByteDance access Nvidia chips despite US export restrictions through a compute-rental arrangement. A $35B public listing would place a neocloud provider in the same valuation conversation as established hyperscaler challengers, testing whether public markets will underwrite GPU-backed capacity with the same confidence private investors have shown.
For builders and investors, the filing is a test of whether the neocloud model can survive the scrutiny of quarterly disclosure: customer concentration, contract duration, Nvidia allocation dependency, and the export-control exposure around ByteDance will all surface in ways private rounds did not require. If the IPO clears at or near the reported range, it gives every GPU-capacity startup a public comp — and gives Nvidia a listed proxy for the demand it has been financing.
