Nscale, the two-year-old British AI infrastructure company, is reportedly in talks for $3.5 billion in pre-IPO financing ahead of a possible public listing as soon as this month. Bloomberg reported the package splits between $1.5 billion in convertible notes sold to a group of investors and $2 billion in additional financing from Nvidia. Nvidia already backed Nscale's $1.1 billion Series B in March, led by Aker, which Nscale called the largest Series B in European history, following a $155 million Series A in December 2024. The talks follow Nscale's roughly $45 billion compute deal with Anthropic, and reports this week said Nscale has told prospective investors it is projecting approximately $103 billion in revenue tied to that deal's signed customer leases — a forward-looking figure based on contracts, not current sales, per The Information.

Nvidia holding equity in Nscale while also extending $2 billion in fresh financing tightens the chip maker's exposure to its own compute-customer base just as AI infrastructure providers convert long-term lease commitments into IPO-ready valuation narratives rather than trailing revenue. Per the AI Market Watch index, Nscale carried $3.722 billion in total tracked funding before this round (coverage, not a census) — meaning the $3.5 billion under discussion would roughly match everything the company had previously raised, in a single pre-IPO tranche. It also follows Nscale's $790 million raise in August for its Narvik, Norway data center, underscoring how quickly capital needs are compounding for compute providers signing multibillion-dollar lab contracts.

For builders and investors, this is a signal that pre-IPO compute-infrastructure financing is increasingly anchored to signed lease commitments rather than realized revenue, and that Nvidia's balance sheet is becoming a direct backstop for the neocloud layer serving frontier labs like Anthropic. Scrutiny of how "projected" revenue figures convert to cash will only intensify as more of these providers approach public markets.
